GM Officially Sells HUMMER To The Chinese
General Motors (GM) and Sichuan Tengzhong Heavy Industrial Machinery Co., Ltd (Tengzhong), today announced that the companies have entered into a definitive agreement that will allow Tengzhong to acquire GM's premium all-terrain HUMMER brand.

Under the terms of the definitive agreement, the buyer will acquire the ownership of the HUMMER brand, trademark and tradenames, as well as specific IP license rights necessary for the manufacture of HUMMER vehicles. The buyer will also assume the existing dealer agreements relating to HUMMER's dealership network.

Tengzhong intends to purchase HUMMER through an investment entity, in which it will hold an 80 percent stake. Mr. Suolang Duoji, a private entrepreneur with holdings that include the Hong Kong-listed thenardite producer Lumena, will hold the remaining 20 percent stake. Financial terms of the agreement were not disclosed.

The transaction is subject to customary closing conditions and regulatory approvals and/or review by government agencies in the U.S. and China. The completion of the definitive agreement enables the companies to continue and further the overall regulatory review process.

"HUMMER is a strong global niche brand and this agreement signifies another important milestone in writing the next chapter for both GM and HUMMER," said Fritz Henderson, GM President and CEO. "For HUMMER, the combination of its knowledgeable leadership team, vehicle design expertise and the capital financing of Tengzhong portend a successful future."

Under the agreement, HUMMER would contract vehicle manufacturing, key components and business services from GM during a defined transitional time period. For example, GM's Shreveport assembly plant would continue to contract assemble the H3 and H3T and AM General's Mishawaka assembly plant will continue to assemble the H2. Both facilities will produce the specified vehicles until June 2011, with an optional one year extension until June 2012. The deal is expected to secure more than 3,000 jobs in the U.S. related to the sale and manufacturing of HUMMER vehicles.

HUMMER will continue to be managed by members of its existing leadership team including James Taylor, who will remain in his current role as HUMMER's chief executive officer. Prior to joining HUMMER, Taylor was General Manager of Cadillac where he oversaw a reinvigoration of the brand, leading key innovations in design and technology as well as the development of new models.

"We are fortunate to have a partner who understands and recognizes the importance of continuing investment in HUMMER's heritage as a U.S.-based and branded company with a view toward capitalizing on global opportunities," said Taylor. "Backed by a privately owned and well-capitalized company, we are going to be able to focus on providing customers with more efficient models that deliver HUMMER's promise of authentic, purpose-built design and engineering."

Once the transaction is complete, HUMMER will become the first automaker to offer an alternative fuel powertrain in every model, with the addition of E85 FlexFuel capability in the 2010 H3 and H3T. HUMMER is also in the process of obtaining emissions certification for a diesel H3 that will be introduced in markets outside of North America. The brand's future product development will focus on improving efficiency and performance in current HUMMER models with alternative fuel powertrains, more efficient gas engines, 6-speed transmissions and diesel engines.

"This transaction marks an exciting step for both Tengzhong and HUMMER, as we invest in a business that has significant opportunity in the U.S. and around the globe," said Yang Yi, chief executive officer of Tengzhong. "We are excited about some of the initiatives already underway at HUMMER that we believe our investment will be able to accelerate, particularly related to the creation of the next generation of more fuel-efficient vehicles to meet not only future regulations but also customer expectations."

Credit Suisse is acting as exclusive financial advisor and Shearman & Sterling is acting as international legal counsel to Tengzhong on this transaction. Citi is acting as financial advisor to GM.

That was my concern. What about the H1. The article states "Hummer" not AM General. Correct me if I'm wrong Isn't the H1 a Humm-V not a Hummer?

If they have the money, I hope they can build the H1 again, a more durable H2 but simpler and lighter, and a more Rav4 type of H3. Those who really want an off-roader should get the H1. Those who want big and cool should get the H2, and those who want the looks but in hatchback-spacious package and sedan drive-ability plus some Jeep Wrangler fun should get the H3.

In a way, GM had the formula right. If they had the money and good brains to bring proper successors to the lineup, then Hummer would be a wonderful brand. One thing is for sure, Hummer should NOT have their own dealers!

why is this stupid company being kept alive? it's been a total joke showing neocon stupidity, and it failed just like everything else conservatives supported. now we're left putting the pieces back together. i hope chinese government has the presence of mind to block this sale. don't know why china needs this crap. they should have just invested the money into BYD

who cares is nobody knows BYD yet. BYD wants to overtake Toyota in 15 years. Warren Buffet invested big time in them. They will become a major automaker.

And Hummer is known world wide, but for all the bad reasons.

yeah we all want something for nothing. that is why after years of a government that favors large corporations over the average middle class citizen (or anyone else really) our country collapsed.

it sure as hell didn't collapse when we had a nice balance between corporations and average citizens, back when CEOs made maybe 50 times more than the average hard working citizen.

But now that they make 500 times more than the average joe, we want "something for nothing" if we complain about it. and of course it's our fault when THEY destroy the world wide economy.

The only Hummer I will miss is the H-1, the H-3T Alpha is alright, Chev can start from a clean slate now and make something that will out wheel a Hummer and be better on gas with better suspension travel on them all, They should all have portal axles with selectable lockers, no traction control, They should consult the pro Desert Truck Builders to design a real truck, not some University grad that has never had his nails dirty.

If you put a wimpy engine in a heavy vehicle with highway gears it would be even more of a dog, have you ever driven off road? Try to imagine spinning those 37inch tires up a steep sand or snow hill with a little engine, It's not going to work,
and the reason they got rid of the original V-8 diesel is because it was under powered, the Military ones were turbo and the original civilian ones came without turbo.
Hopefully Chev comes out with a Hummer eater with a good spin doctor to tell us how green it is, then improve on the original by, better aerodynamics,lighter, more suspension travel,better power to weight ratio, (like a sports car), better on gas and keep the portal axles and don't make watered down princesses like the h-2 and H-3, anything is a princess compared to the h-1, although there is much room for improvement.The H-1 is best suited for the desert, on the coast where I live the H-1 needs better power to weight ratio for deep snow and loose hill climbs, and more suspension travel. I have heard a good story about a H-1 rolling where lifted solid axle toys and Jeeps traversed, and we all know how tipsy lifted toys are, the reason the H-1 rolled and the jacked up solid axle Toyota's and Jeep's didn't is because the H-1 didn't have the wheel travel, they were doing a side hill and there was a dip, the solid axle toys and Jeeps kept there wheels on the ground and when the H-1 came through it flipped when there was no suspension travel to follow the road, therefor the whole vehicle just rolled, the driver of the new Hummer flipped $$.
